Acceptance of Terms

By accessing or using ScaleTeam's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you should not use our services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of any modifications.

Services Description

ScaleTeam provides AI-native software development services including but not limited to custom AI agent development, LLM and RAG system implementation, product engineering, and AI SaaS solutions. The specific scope, deliverables, and timelines for each engagement are defined in individual project agreements between ScaleTeam and the client.

Intellectual Property

Unless otherwise specified in a project agreement, all intellectual property created during an engagement is assigned to the client upon full payment. ScaleTeam retains the right to use general knowledge, techniques, and non-proprietary tools developed during the course of work. Pre-existing intellectual property of either party remains the property of its original owner.

Payment Terms

Payment terms are outlined in individual project agreements. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest at a rate of 1.5% per month. ScaleTeam reserves the right to pause work on any project with outstanding invoices exceeding 15 days past due.

Limitation of Liability

To the maximum extent permitted by law, ScaleTeam shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability for any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim within the twelve months preceding the event.

Termination

Either party may terminate an engagement with 30 days written notice unless otherwise specified in the project agreement. Upon termination, the client is responsible for payment of all work completed up to the termination date. ScaleTeam will provide reasonable assistance in transitioning deliverables and documentation to the client or a designated third party.

Governing Law

These Terms of Service are governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration in accordance with the rules of the applicable arbitration authority.
